1. General
1.1. These terms and conditions, including the privacy notice and the cookie policy (hereinafter “Terms & Conditions”), apply to all visits to and all use of the website innovationchallenge.arla.com (hereinafter “Website”) which is provided by Arla Foods amba, Sønderhøj 14, DK-8620 Viby J, Denmark (hereinafter “Arla Foods”). By using this Website, you are agreeing to these Terms & Conditions. Please read them carefully. If you do not agree to these Terms & Conditions, please do not use the Website.
1.2. Arla Foods may modify these Terms & Conditions. Changes will not apply retroactively and will become effective immediately after they are posted. We consequently advise you to look at the Terms & Conditions regularly.
2. Purpose and content of the Website
2.1. Innovation Challenge is Arla Foods’ online platform (hereinafter “Platform”) for global innovation challenges where Arla Foods invites aspiring start-ups and entrepreneurs to create the future of dairy and take positive steps towards a more sustainable and healthy future by participating in Arla Foods’ Innovation Challenge.
2.2. Arla Foods strives to ensure that the content of the Website is always correct and up to date. Arla Foods has the opportunity to change the content of the Website, including removing parts of the content, at its sole discretion and without prior notice.
3. Challenges
3, 1. Arla Foods will publish information on open challenges (hereinafter “Challenge”) on the Website. You can respond to a Challenge by logging on to the Website and describe your idea or solution.
4. Creating an account
4.1. You will be required to create an account before you can participate in a Challenge and/or post comments or other content on the Platform.
4.2. You can create an account by clicking the “PARTICIPATE” button and enter your first name, last name and e-mail. You can also sign in using your Facebook, Google or LinkedIn account.
4.3. When you create an account, you agree to these Terms & Conditions.
5. Submitting your idea or solution
5.1. You will be able to complete the online form for submitting ideas or solutions to Arla Foods when you have created an account. You can submit as many ideas or solutions as you want.
5.2. All submissions will be evaluated by and at the sole discretion of Arla Foods’ evaluation panel (hereinafter “Evaluation Panel) and you will via e-mail receive the Evaluation Panels decision on whether or not your submission is selected to move forward.
6. Intellectual property rights
6.1. The Website and its entire contents are owned by Arla Foods, its affiliates, its licensors or other providers of such material and are protected by copyrights, trademarks and other intellectual property rights (hereinafter “IPR”). You must not use any part of the content on the Website, including but not limited to the name, logo, and trademarks of Arla Foods, outside the Website without prior written consent from Arla Foods.
6.2. You confirm by entering the Challenge that, to the best of your knowledge, all IPR, if any, subsisting in your submission to the Challenge belongs to you or that you are lawfully entitled to use such IPR and that your entry does not infringe any third party’s IPR. You are responsible for obtaining any necessary permission from third parties to use their IPR in your submission. We reserve the right to ask for additional evidence or documents to validate that all information you supply is accurate and complete.
6.3. Elements of the submission that are based on IPR proprietary to others, such as copyrights or patents, shall be marked as such in the submission.
6.4. To the extent that you own any IPR around the idea or solution included in your submission, those rights will remain your property.
6.5. You shall have sole responsibility, at your own cost, for filing, prosecuting, maintaining, defending and enforcing any such IPR, unless agreed otherwise in writing.
6.6. Arla Foods does not, unless we agree otherwise with you in writing, claim any rights of ownership to existing IPR in your submission.
6.7. You acknowledge and agree that Arla Foods and/or its affiliates and/or other participants may already be independently developing or producing solutions or products which could resemble your submission, and that you are not entitled to any compensation and have no rights of any kind with regards to such independently developed solutions or products.
6.8. Submissions which are not selected to move forward, will not be used by Arla Foods and/or its affiliates.
6.9. Arla Foods shall have the right to freely use a public summary prepared by you (hereinafter “Public Summary”) for promotional purposes, including but not limited to use on and in connection with promotion of the Website and the Challenge.
6.10. If you upload any comments or other content on the Platform, you agree and accept that Arla Foods may freely use your input for internal and promotional purposes.
7. Confidentiality
7.1. Submissions will be treated confidentially and used exclusively for the purposes of the Challenge.
7.2. Participants agree that their submissions will be forwarded to the Evaluation Panel who is bound by confidentiality.
7.3. Obligations of confidentiality will not apply in relation to information provided in the submission which:
7.4. Arla Foods may retain for its records copies of all information you provide in relation to the Challenge for documentation purposes and possible subsequent contact.
7.5. Participant who are selected to receive feedback on their idea or solution and to engage in next steps with Arla Foods, will be required to sign a non-disclosure agreement to ensure that non-public, confidential and/or proprietary information relating to the respective business of each party disclosed during such discussions will remain confidential.
8. Cookies

9. Data privacy

10. Liability
10.1. Any use of the Website is at your sole responsibility and risk. The contents of the Website and all material and information on the Website are made available “as is” and without any implied or express warranties. Arla Foods expressly disclaims any liability for damages, including personal and property damage, arising from the use of the Website (or inability to make use of the Website) or products and/or material and information described on the Website.
10.2. The internet by nature is an unreliable medium. As a result, you acknowledge that the Website is offered “as is” and “as available”. Arla Foods takes reasonable steps to ensure that the Website is functioning properly at all times, but Arla Foods does not warrant that the Website will be uninterrupted at any time, safe or error-free, that defects will be corrected, or that the Website or the server making it available will be free from software viruses or bugs or other defects.

10.4. Arla Foods may from time to time include links on the Website to external websites or sources. These links are provided for the convenience of the users. Arla Foods does not control such external websites, and Arla Foods accepts no responsibility for such websites or their content. Links to other websites do not indicate that Arla Foods approves or recommends these. Arla Foods reserves the right, at its discretion, to delete links to other websites.
11. Indemnification
11.1. You agree to fully and effectively indemnify Arla Foods against any and all liabilities, losses, costs, expenses and damages arising out of or relating to your violation of these Terms & Conditions and any use of the Website other than expressly authorized in these Terms & Conditions.
12. Applicable law and jurisdiction
12.1. These Terms & Conditions are governed by and construed in accordance with the laws of Denmark, except for any provisions on choice of law. Any dispute or claim that arises out of or in connection with these Terms & Conditions or the use of the Website shall be resolved by the competent courts of Denmark.
